Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website, platform, and related services (together, the "Service") provided by Shorlabs, Inc. ("Shorlabs", "we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

1. The Service

Shorlabs is a deployment platform that builds, deploys, and operates your applications, databases, domains, and related infrastructure inside your own Amazon Web Services (AWS) account. Features include Git-based deployments from GitHub, automated infrastructure provisioning, build and runtime logs, custom domain and TLS management, and usage monitoring. Shorlabs acts as an orchestration layer: the infrastructure we provision runs in your AWS account and remains under your ownership and control.

2. Accounts and Eligibility

You must be at least 16 years old to use the Service. You are responsible for maintaining the confidentiality of your account credentials, including any third-party sign-in method (such as Google) and connected GitHub authorizations. You agree to provide accurate account information and to notify us promptly at [email protected] of any unauthorized use of your account. Shorlabs is not liable for losses caused by your failure to safeguard your credentials.

3. Your AWS Account

To use the Service, you connect an AWS account by creating a cross-account IAM role that authorizes Shorlabs to provision and manage resources on your behalf. You acknowledge and agree that:

  • You must have the legal right to connect the AWS account you use with the Service;
  • Resources deployed by Shorlabs run in your AWS account, and AWS bills you directly for those resources under your agreement with AWS — those charges are separate from, and in addition to, Shorlabs fees;
  • You are responsible for your AWS account's compliance with AWS's own terms of service;
  • Modifying or deleting Shorlabs-managed resources directly in your AWS account may cause deployments to fail or behave unpredictably;
  • You may revoke Shorlabs' access at any time by deleting the IAM role, which will prevent us from managing or cleaning up previously deployed resources.

4. Your Content

You retain all ownership and intellectual property rights in the code, applications, data, and other content you deploy through the Service ("Your Content"). You grant Shorlabs a limited, non-exclusive license to access, build, deploy, and operate Your Content solely as necessary to provide the Service to you. You are solely responsible for Your Content, including its legality and the traffic and resource usage it generates.

5. Acceptable Use

You agree not to use the Service to:

  • Host, distribute, or transmit illegal content, malware, or content that infringes the rights of others;
  • Engage in phishing, spamming, or other deceptive or fraudulent activity;
  • Mine cryptocurrency without our prior written consent;
  • Launch denial-of-service attacks or intentionally consume resources in a way designed to stress, disrupt, or harm the Service or third parties;
  • Attempt to probe, breach, reverse engineer, or circumvent the Service's security, access controls, or billing;
  • Resell or provide the Service to third parties as a competing offering without our written consent.

We may suspend or terminate accounts that violate this section, with or without notice, and may remove or disable access to content that violates these Terms or applicable law.

6. Fees and Billing

The Service is billed on a usage basis. Current pricing is published on our website, and usage metrics (such as requests, bandwidth, build minutes, and compute) are metered by the Service. Payments are processed by our billing providers, Autumn and Stripe. By adding a payment method, you authorize us to charge accrued usage fees on a recurring basis. Fees are non-refundable except where required by law. Unpaid balances may result in suspension of the Service. We may change pricing with prior notice; changes apply from the next billing period. You remain responsible for all AWS charges incurred in your own AWS account regardless of your Shorlabs billing status.

7. Third-Party Services

The Service integrates with third-party services including AWS, GitHub, Google (sign-in), Clerk, Autumn, and Stripe. Your use of those services is governed by their own terms and privacy policies, and Shorlabs is not responsible for third-party services or for changes those providers make that affect the Service.

8. Shorlabs Intellectual Property

Shorlabs retains all rights, title, and interest in and to the Service, including the platform, dashboard, build and deployment pipelines, and all related software, branding, and documentation. These Terms do not grant you any right to use Shorlabs trademarks or branding without our prior written consent. If you provide feedback or suggestions, we may use them without restriction or obligation to you.

9. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHORLABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEPLOYMENT WILL SUCCEED OR REMAIN AVAILABLE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHORLABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, CODE, USE, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE — INCLUDING CHARGES INCURRED IN YOUR AWS ACCOUNT — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS YOU PAID TO SHORLABS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Shorlabs and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, or your violation of these Terms or applicable law.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or where required by law, and otherwise with reasonable notice. Upon termination, we will stop managing your deployments and delete your account data as described in our Privacy Policy. Resources already provisioned in your AWS account remain in your account and under your control; you are responsible for removing them and for any ongoing AWS charges. Sections 4, 8, 9, 10, 11, and 13 survive termination.

13. General

These Terms constitute the entire agreement between you and Shorlabs regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms are governed by the laws of the jurisdiction in which Shorlabs, Inc. is incorporated, without regard to conflict-of-law principles.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date above, and for material changes we will provide notice through the Service or by email before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
